Randall M. Glenn

Randy’s practice focuses on representing individuals and diverse public and private businesses in commercial real estate matters, general corporate matters, and business transactions.

Throughout his practice, Randy has represented clients in all aspects of the acquisition, disposition and financing of improved and unimproved commercial real estate as well as commercial leasing and lease enforcement/collection matters. In connection with his commercial real estate practice, Randy has negotiated and drafted – among various other instruments – development agreements, access and maintenance agreements, right of entry agreements and indefeasible right of use agreements. He has also rendered more than 1,000 title opinions.

Of particular emphasis in Randy’s commercial real estate practice is his work involving senior housing facilities. Over the past 15 years, Randy has represented developers, buyers, sellers, operators and lenders in all aspects of the acquisition, disposition, leasing and financing (including substantial HUD LEAN experience) of skilled nursing and assisted living facilities in transactions totaling more than $3 Billion. Randy’s practice also includes expertise with filing Change of Ownership (CHOW) applications so that clients’ entire transactional needs are met from start to finish with the regulatory agency that approves new owners and operators when nursing facilities are bought and sold.

Randy’s experience in corporate matters and business transactions includes representing parties in mergers and acquisitions, organizing and dissolving corporations, limited liability companies, and limited partnerships; and analyzing executive compensation issues, including those involving stock options. He also negotiates and drafts buy-sell agreements; independent contractor agreements; and patent, trademark and software license agreements. He has analyzed, negotiated, and drafted wholesale telecommunications services agreements; drafted state and federal trademark applications; and analyzed and drafted Uniform Franchise Offering Circulars and franchise agreements.
